1. Company Information and Contracting Entity

SpicyDream.ai is operated by FES2 Inc., a corporation organized under the laws of the State of Delaware, United States.

Unless otherwise expressly stated at the time of purchase, transactions and payments made through SpicyDream.ai are processed by FES2 Inc. For payment and transaction purposes, the applicable terms, policies, and governing law correspond to the entity identified at the time of purchase.

2. The Services

SpicyDream offers websites, mobile applications, AI image and video generation tools, editing tools, asset libraries, templates, subscription plans, credits, and related products and services (together, the "Services").

We may change, suspend, discontinue, restrict, or replace any part of the Services at any time — including the underlying models, features, pricing, credit rules, generation limits, output formats, and overall availability.

3. Eligibility and Your Account

• You must be 18 years of age or older to use the Services.
• You are responsible for safeguarding your login credentials and for everything that happens under your account.
• You must supply accurate account, billing, and contact details and keep them current.
• We may decline, suspend, or revoke access if we believe your account, content, payments, or use of the Services breaches these Terms or applicable law.

4. Your Inputs

"Input" means any content, files, images, videos, prompts, reference materials, instructions, settings, or other materials that you upload, submit, or otherwise provide to the Services.

You keep whatever rights you hold in your Input. You grant SpicyDream and our service providers a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, process, display, modify, and use your Input solely to the extent needed to operate, secure, improve, troubleshoot, and enforce the Services and these Terms.

You represent and warrant that you hold all rights, permissions, and legal authority required to submit your Input and to allow us to process it.

Where your Input depicts an identifiable person, you further represent that you have obtained the rights, permissions, and consent required to use that person's image, likeness, voice, personal attributes, and related materials within the Services.

5. AI-Generated Outputs

"Output" means the images, videos, edits, files, or other content that the Services generate or return based on your Input.

As between you and SpicyDream, and to the fullest extent permitted by applicable law, you may use Output for personal or commercial purposes, subject to these Terms, our policies, the rights of third parties, and applicable law.

• We make no guarantee that any Output is unique, eligible for copyright protection, non-infringing, free of errors, accurate, or fit for any particular purpose.
• Other users may receive Output that is similar or identical to yours.
• You are responsible for reviewing Output before you use, publish, sell, or distribute it.
• We do not use your uploaded Input or generated Output to train AI models.

6. Assets, History, and Storage

Source images and videos you upload are used to carry out the generation or editing request you make. We do not retain uploaded source files unless retention is needed to complete your request, maintain assets or history you have chosen to keep, investigate errors, prevent abuse, comply with legal obligations, or enforce these Terms. Once retention is no longer needed, source files are deleted or de-identified.

Where a feature supports it, generated outputs, task records, and associated metadata may be saved to your assets, history, or account workspace. Content saved there is generally kept until you delete it, delete your account, or retention is no longer required to operate the Services, comply with law, resolve disputes, prevent fraud, or enforce these Terms.

7. Payments, Credits, Subscriptions, and Refunds

Prices and applicable payment, renewal, and cancellation terms are displayed before you complete a purchase. You authorize FES2 Inc. and its authorized payment service providers to charge the payment method you provide for the applicable fees.

• Certain features require credits, a subscription, a membership, or another form of paid access.
• Credit costs, prices, plan benefits, generation costs, usage limits, and availability may differ by feature, model, duration, resolution, region, platform, promotion, or account status.
• Credits are deducted when you submit or complete eligible generation requests, according to the rules displayed in the product.
• Spent credits are non-refundable. Unused credits carry no cash value and may not be transferred, exchanged, resold, or converted into money, except where the law requires otherwise.
• Subscription fees are generally non-refundable once a billing period has started, unless the law requires a refund or SpicyDream expressly states otherwise.
• If you purchased through an app store or another third-party payment platform, cancellations and refunds are governed by that platform's own rules and processes.
• If you believe you were billed in error, charged twice, or lost credits on a failed generation without restoration, contact us and we will review it under our Refund Policy.
• Cancelling a subscription prevents future renewals; it does not automatically refund past charges or credits already consumed.

8. Acceptable Use

You agree not to use the Services to create, upload, request, or distribute:

• Content that is illegal, harmful, exploitative, abusive, hateful, harassing, defamatory, deceptive, or fraudulent.
• Sexual content involving minors, non-consensual intimate content, or content that violates anyone's privacy or publicity rights.
• Content that uses another person's image, likeness, voice, identity, or personal attributes without the rights, permissions, and consent required.
• Content that infringes intellectual property rights, contractual rights, personal rights, or any other third-party rights.
• Malware, spam, phishing, scams, security attacks, scraping, unauthorized automation, or attempts to circumvent technical limits.
• Misleading content designed to impersonate others, deceive viewers, interfere with elections, or misrepresent real events without appropriate context.
• Any content or activity that breaches applicable laws, regulations, platform rules, payment rules, or our policies.

You are solely responsible for your Input, for how you use Output, and for any consequences of publishing, sharing, selling, or relying on Output.

9. Our Intellectual Property

The Services — including software, interfaces, designs, systems, model integrations, templates, trademarks, logos, and related intellectual property — are owned by us and our licensors. Apart from the limited right to use the Services granted under these Terms, no rights are transferred to you.

You may not copy, reverse engineer, resell, sublicense, or interfere with the Services, or build competing services based on them, except where applicable law expressly permits.

10. Disclaimers

The Services and all Output are provided "as is" and "as available." To the maximum extent the law allows, SpicyDream disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and reliability.

AI systems can produce unexpected, inaccurate, offensive, low-quality, incomplete, or repetitive results. We do not guarantee uninterrupted access, particular generation results, delivery timelines, or compatibility with every device, browser, platform, or workflow.

11. Limitation of Liability

To the maximum extent permitted by law, SpicyDream and its affiliates, officers, employees, contractors, service providers, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, nor for lost profits, lost revenue, lost data, loss of goodwill, lost business opportunities, or lost content.

To the maximum extent permitted by law, our aggregate liability for any claim arising from or relating to the Services will not exceed the greater of (a) the amount you paid to SpicyDream for the Services giving rise to the claim during the three months preceding the claim, or (b) USD $100.

12. Suspension and Termination

We may suspend, restrict, or terminate your access to the Services, remove or limit content, disable generation features, revoke credits obtained through abuse or error, or refuse future service if we believe you have violated these Terms, our policies, payment rules, or applicable law, or if your use poses risk to SpicyDream, other users, third parties, or the Services themselves.

You may stop using the Services whenever you wish. Provisions concerning ownership, payment obligations, disclaimers, limitations of liability, dispute resolution, and any other terms that by their nature should survive will remain in effect after termination.

13. Changes to These Terms

We may revise these Terms from time to time. Updates are reflected in the "Last updated" date above. For material changes, we may give additional notice within the Services or through other reasonable channels. Continuing to use the Services after an update constitutes acceptance of the revised Terms.

14. Governing Law and Disputes

These Terms & Conditions, and any transaction or service provided through SpicyDream.ai, are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law principles.

To the extent permitted by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms, your use of SpicyDream.ai, or any transaction made through the Services is subject to the applicable laws of the State of Delaware, United States.

Nothing in these Terms is intended to exclude, restrict, or limit any mandatory consumer protection rights or other rights that cannot lawfully be waived under the laws applicable to you.
